These Terms of Service (the “Terms”) govern your access to and use of Overture Forms (the “Service”), operated by Rosevine Technology Services (“Rosevine Technology Services,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
Overture Forms is a hosted platform for building, publishing, and receiving online forms, including email and webhook delivery of form submissions, access controls, and related administrative tooling. We may update, improve, or modify the Service from time to time.
2. Accounts and access
Access to the administrative console requires authentication through a supported identity provider (such as Microsoft Entra ID). You are responsible for maintaining the security of your accounts and for all activity that occurs under them, and for ensuring that the users you grant access are authorized. You must promptly notify us of any unauthorized use.
3. Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation;
- send unsolicited or unlawful communications, or collect data without a lawful basis or required consent;
- infringe the intellectual property, privacy, or other rights of others;
- transmit malware, attempt to gain unauthorized access to systems, or interfere with the integrity or performance of the Service; or
- misrepresent your identity or affiliation in a way that deceives others.
4. Your content and data
You retain all rights to the forms you create and the submissions you collect (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and maintain the Service. You are responsible for the lawfulness of the Customer Data you collect and for providing any notices and obtaining any consents required from the individuals who submit your forms.
5. Fees
Paid plans are billed as described on our pricing page. Metered usage, such as submissions beyond your plan’s included allowance, is billed in arrears. Fees are non-refundable except where required by law.
6. Third-party services
The Service relies on third-party providers (for example, cloud infrastructure and email delivery) to function. Your use of the Service may be subject to those providers’ terms, and their availability is outside our direct control.
7. Service availability
We work to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted or error-free.
8. Disclaimers and limitation of liability
To the maximum extent permitted by law, Rosevine Technology Services disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Rosevine Technology Services will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, or data, arising out of or related to your use of the Service.
9. Termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms or if required to protect the Service or other users. On termination, the rights granted to you under these Terms will cease.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
